EIIS Investment Opinion Form

As part of the Innovation Alliance*, HBAN is collecting input from angel investors on the key challenges associated with the current Employment Investment Incentive Scheme (EIIS). Your insights will help inform the HBAN submission on behalf of angel investors for Budget 2026.

*The Innovation Alliance is a coalition of a number of national organisations, which comprises Scale Ireland, HBAN, IVCA, Deloitte, Elkstone and Euronext, all of whom have a shared interest in the growth of the indigenous tech start-up sector in Ireland.

Based on your investment experience, how would you rank the following potential changes in terms of how significantly they would improve the process of investing using EIIS?

EIIS investments are not eligible for Loss Relief, despite the high-risk nature of angel investing and the restriction to ordinary shares.

Clawback rules for early sale of shares are too rigid — currently, full clawback applies even if shares are held for most of the 4-year period, rather than on a pro-rata basis.

EIIS does not allow for investments via CLNs or SAFEs, limiting flexibility for both companies and investors.

There is no consistency on the tax relief rates between Direct and Indirect Investments

The process is overly complex for companies, especially due to connected party rules — for example, founders who invested via CLNs may be blocked from future equity investment via holding companies.
